1. Acceptance of Terms

By accessing or using any website, publication, signal service, communication, or other product offered by Acrux Capital, LLC (“Acrux Capital”), whether free or paid, each client, subscriber, or user (“User”) acknowledges that they have read, understood, and agree to be bound by these Terms of Use and the accompanying Disclaimer.

Any User who does not agree to any portion of these Terms of Use or the Disclaimer must immediately discontinue use of all Acrux Capital websites, products, and services.

Acrux Capital may modify, revise, or replace these Terms of Use or the Disclaimer at any time without prior notice. It is the User’s responsibility to review the most current versions; however, best efforts will be made to notify active clients of substantive changes.

2. Billing and Dynamic Value Fees

Subscription fees may include fixed or variable (“Dynamic Value”) fees that reflect demand, capacity, or Acrux Capital’s objective or subjective assessment of the strategy’s value.

The Dynamic Value Fee may also vary according to the scale or capacity each client elects to trade or access within Acrux Capital’s signal services. All fees are for continued access to Acrux Capital’s data, signals, and analysis services, including variations in scale or capacity selected by each client, and are not based on, nor contingent upon, the trading performance of any account or individual.

Variable fees are not automatically charged; they are invoiced separately for client review and optional payment. Invoices may be issued at any time or at regular intervals (weekly, monthly, or quarterly). Payment is due within 72 hours of invoicing unless otherwise arranged. Failure to pay within five (5) days may result in suspension or permanent cancellation of services. Suspensions or cancellations may occur mid-signal, and Acrux Capital assumes no responsibility or liability for any resulting trading loss or disruption.

3. Service Availability

Websites, data feeds, and communication channels may occasionally be unavailable due to maintenance, network interruptions, or other causes. While Acrux Capital makes reasonable efforts to minimize downtime, 100 percent availability is not guaranteed.

4. Intellectual Property and Use Restrictions

All content distributed by Acrux Capital—including but not limited to text, data, trade signals, analysis, and graphics—is copyright-protected and confidential.
Users may not reproduce, redistribute, transmit, or circulate any information obtained through their subscription or access, in whole or in part, without prior written consent.

Services and content are provided solely for the individual, non-professional use of the subscribing client. They may not be used by financial professionals, money managers, or entities managing funds for others without written authorization from Acrux Capital.

Each client is authorized to apply information only to accounts in their own legal name. Any violation of these restrictions may result in immediate termination of access and forfeiture of all fees paid.

5. Monitoring and Enforcement

Acrux Capital reserves the right to monitor communications and activity for compliance and may pursue legal action to the fullest extent permitted by law for violations of these Terms of Use.

6. Termination of Services

Acrux Capital may, at its sole discretion and without prior notice, suspend or discontinue any service at any time. Grounds may include but are not limited to:

failure to make scheduled or variable-fee payments;
payment disputes;
disruptive or excessive inquiries that impede service quality; or
any conduct deemed detrimental to Acrux Capital or its clients.

Acrux Capital assumes no liability for any loss arising from such suspension or termination.

7. Nature of Services

All Acrux Capital products and communications are informational in nature and do not constitute investment advice or recommendations to buy or sell any security or derivative.
Users who choose to trade based on Acrux Capital information accept full responsibility for their decisions and acknowledge all risks described in the Disclaimer.

8. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in that state.
